These Terms and Conditions (“Terms”) govern your access to and use of this website and your purchase of products from NUATROL LLC (“NUATROL,” “we,” “us,” or “our”).

By accessing our website, placing an order, or otherwise using our services, you agree to these Terms and to our Privacy Policy, Refund Policy, and Shipping Policy. If you do not agree, you must not use the website or purchase our products.

1. Online Store Terms

You must be at least the age of majority in your state, province, or country of residence to use this website or make a purchase.

If you permit a minor to use this website, you confirm that you are their parent or legal guardian and accept responsibility for their use.

You may not use our website, services, or products for any unlawful or unauthorized purpose. You must not transmit viruses, malicious code, or other material that could damage or interfere with the website, our services, or other users.

2. Products and Services

We make reasonable efforts to display product descriptions, images, colors, prices, ingredients, features, and availability accurately. However, product colors and appearance may vary depending on your device and display settings.

Products may be available exclusively online and may have limited quantities. We may modify, limit, or discontinue a product at any time without notice.

We reserve the right to limit sales by person, household, geographic region, or jurisdiction and to limit the quantities of products available for purchase.

3. No Medical Advice

Information provided through our website, product descriptions, marketing materials, emails, or customer support is provided for general informational purposes only. It is not intended to constitute medical advice, diagnosis, or treatment.

Our products are not intended to diagnose, treat, cure, or prevent any disease unless expressly stated and legally authorized.

Individual results may vary. Customer reviews, testimonials, and examples do not guarantee that you will achieve the same or similar results.

4. Orders

Submitting an order constitutes an offer to purchase. Your order is not accepted until we send an order confirmation or dispatch the products.

We may refuse, limit, or cancel an order, including when:

  • A product is unavailable;
  • Pricing or product information contains an error;
  • We suspect fraud or unauthorized activity;
  • An order appears intended for unauthorized resale;
  • Payment cannot be authorized;
  • Shipping restrictions prevent fulfillment; or
  • The order violates these Terms or applicable law.

If we cancel an order after collecting payment, we will refund the amount charged for the canceled portion.

You agree to provide current, complete, and accurate billing, shipping, payment, and contact information.

5. Pricing and Payment

Prices are displayed in the currency shown at checkout. Applicable taxes, discounts, and other charges will be shown before you complete your purchase.

We may change prices at any time without notice. Price changes will not affect orders we have already accepted.

Payments may be processed by Shopify or another third-party payment provider. Your use of those services may be subject to the provider’s terms and privacy policy.

You represent that you are authorized to use the payment method submitted with your order.

6. Shipping and Delivery

We offer free standard shipping on all orders.

Estimated delivery times are:

  • United States: 2–4 business days via USPS
  • Canada: 3–5 business days
  • United Kingdom: 3–5 business days

Delivery times are estimates and are not guaranteed. Delays may occur because of weekends, public holidays, customs processing, weather, carrier disruptions, incorrect addresses, or circumstances outside our reasonable control.

You are responsible for providing a complete and accurate delivery address. Contact us promptly if you notice an error. We cannot guarantee that an address can be changed after an order enters processing or has shipped.

7. International Orders

International orders may be subject to customs duties, import taxes, brokerage charges, or similar fees imposed by the destination country. Unless otherwise stated at checkout, you are responsible for these charges.

You are responsible for ensuring that products ordered from our website may lawfully be imported into and used in your country.

Customs processing may cause delays beyond our estimated delivery times.

8. Returns, Refunds, and Cancellations

Returns, refunds, exchanges, cancellations, damaged products, and missing orders are governed by our Refund Policy. Please review that policy before completing a purchase.

Nothing in these Terms limits any non-waivable right or remedy available under applicable consumer-protection law.

9. Personal Information

Our collection and use of personal information are governed by our Privacy Policy.

By using the website, you acknowledge that your information may be processed by Shopify, payment processors, shipping carriers, analytics providers, and other service providers necessary to operate our store and fulfill your orders.

10. Electronic Communications

When you provide your email address or other contact information, we may send you transactional communications relating to your order, delivery, account, product safety, or customer-service requests.

We will send promotional communications only as permitted by applicable law. You may unsubscribe from marketing emails by using the unsubscribe link included in those messages.

You agree that electronic communications and records may satisfy legal requirements that communications be provided in writing, except where applicable law requires another method.

11. Accounts

If our website permits customer accounts, you are responsible for keeping your login credentials confidential and for activity conducted through your account.

You must provide accurate information and promptly notify us at support@nuatrol.com if you believe your account has been accessed without authorization.

We may suspend or terminate an account that violates these Terms, is used fraudulently, or creates a security risk.

12. Intellectual Property

All website content—including text, graphics, product names, logos, photographs, videos, designs, icons, software, and other materials—is owned by or licensed to NUATROL LLC and is protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive, and non-transferable right to access and use the website for personal, non-commercial shopping purposes.

Without our prior written permission, you may not:

  • Copy, reproduce, distribute, or republish website content;
  • Modify or create derivative works from website content;
  • Use our trademarks, branding, photographs, or product materials;

You represent that:

  • You own the content or have permission to submit it;
  • The content reflects your honest opinion or experience;
  • The content does not violate another person’s rights;
  • The content is not unlawful, misleading, defamatory, or deceptive; and
  • You have disclosed any material relationship or incentive connected to the content.

We may monitor, edit, decline to publish, or remove user content at our discretion, subject to applicable law.

14. Prohibited Uses

We may provide access to tools operated by third parties that we do not monitor or control.

These tools are provided on an “as is” and “as available” basis, without warranties, representations, or endorsements from us. Your use of an optional third-party tool is at your own risk and subject to the applicable provider’s terms.

17. Errors, Inaccuracies, and Omissions

Information on our website may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, ingredients, prices, promotions, shipping charges, delivery times, or availability.

We may correct errors, update information, or cancel affected orders at any time, including after an order has been submitted.

If we cancel a paid order because of an error, we will issue an appropriate refund.

18. Disclaimer of Warranties

To the fullest extent permitted by law, the website, services, and website content are provided on an “as is” and “as available” basis.

We do not guarantee that:

  • The website will always be uninterrupted, timely, secure, or error-free;
  • Website information will always be complete or current;
  • Defects will always be corrected; or
  • A product will produce a particular result.

Except for warranties expressly provided by us or required under applicable law, we disclaim all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

Some jurisdictions do not permit certain warranty exclusions, so some portions of this section may not apply to you.

19. Limitation of Liability

To the fullest extent permitted by law, NUATROL LLC and its members, officers, employees, affiliates, agents, contractors, suppliers, licensors, and service providers will not be liable for indirect, incidental, punitive, special, exemplary, or consequential damages arising from or relating to:

  • Your use of or inability to use the website;
  • Your purchase, possession, or use of a product;
  • Loss of data, revenue, profits, savings, or business opportunity;
  • Unauthorized access to your information; or
  • Third-party conduct, content, products, or services.

Where liability cannot legally be excluded, our liability will be limited to the maximum extent permitted by applicable law.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded. Nothing in these Terms limits mandatory consumer rights.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless NUATROL LLC and its affiliates, members, officers, employees, agents, contractors, suppliers, and service providers from third-party claims, liabilities, damages, losses, and reasonable legal expenses arising from:

  • Your unlawful use of the website;
  • Your violation of these Terms;
  • Your violation of applicable law; or
  • Your infringement of another party’s rights.

This obligation does not apply to the extent a claim results from the negligence, willful misconduct, or legal violation of NUATROL LLC.

21. Informal Dispute Resolution

Before beginning arbitration or filing a lawsuit, you and NUATROL LLC agree to attempt to resolve the dispute informally.

The party raising the dispute must send a written notice containing:

  • The individual’s full name and contact information;
  • The relevant order number, if applicable;
  • A description of the dispute;
  • The relief or resolution requested; and
  • Documents reasonably supporting the claim.

The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt of the notice. Any applicable limitations period will be suspended during this 30-day period.

If the dispute is not resolved, either party may proceed as permitted below.

22. Binding Arbitration for United States Customers

Please read this section carefully. It affects your legal rights, including your right to bring a case in court and have a jury decide your claims.

Except for the disputes excluded below, you and NUATROL LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the website, a product, an order, advertising, communications, or the relationship between you and NUATROL LLC will be resolved through final and binding individual arbitration.

This includes disputes concerning the interpretation, applicability, enforceability, formation, or validity of these Terms or this arbitration agreement, except that a court will decide disputes concerning the enforceability of the class-action waiver.

This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16, and applies only to the extent permitted by law.

Arbitration Administrator and Rules

Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules in effect when the claim is filed, as modified by these Terms.

AAA rules, forms, and filing information are available at www.adr.org.

If AAA is unavailable or unwilling to administer the arbitration consistent with these Terms, the parties will attempt to select another nationally recognized arbitration provider. If the parties cannot agree, either party may ask a court with appropriate jurisdiction to appoint an arbitrator under the Federal Arbitration Act.

Arbitration Procedure

The arbitration will be conducted by one neutral arbitrator. The arbitrator may award the same individual remedies that would be available in court, including damages and injunctive or declaratory relief, but only to the extent necessary to resolve the individual claim.

The arbitrator will provide a written decision explaining the essential findings and conclusions supporting the award.

Unless the arbitrator determines that an in-person hearing is necessary, arbitration may be conducted by telephone, video conference, written submissions, or another reasonably accessible method.

If an in-person hearing is required, it will occur at a reasonably convenient location for the customer or as otherwise required by the AAA Consumer Arbitration Rules.

Arbitration Fees

Arbitration fees will be allocated according to the AAA Consumer Arbitration Rules and applicable law. NUATROL LLC will pay fees that it is required to pay under those rules or applicable law.

Each party will be responsible for its own attorneys’ fees unless applicable law or the arbitrator’s award provides otherwise.

Exceptions to Arbitration

Either party may bring an eligible individual claim in small-claims court instead of arbitration, provided the claim remains in that court and proceeds only on an individual basis.

Either party may seek temporary or preliminary court relief where necessary to prevent immediate and irreparable harm while arbitration is pending.

Nothing in this section prevents either party from reporting concerns to a government agency. A government agency may seek relief on a party’s behalf where authorized by law.

Claims concerning the infringement or misuse of intellectual-property rights may be brought in a court with appropriate jurisdiction.

23. Class-Action and Jury-Trial Waiver

To the fullest extent permitted by law, you and NUATROL LLC agree that claims may be brought only in an individual capacity and not as a plaintiff, claimant, or class member in any purported class, collective, consolidated, coordinated, mass, or representative proceeding.

The arbitrator may not combine the claims of more than one person or preside over any class, collective, consolidated, coordinated, mass, or representative proceeding unless both parties expressly agree in writing.

To the fullest extent permitted by law, you and NUATROL LLC waive the right to a trial by jury.

If applicable law does not permit the waiver of a particular claim or form of relief, only that claim or request for relief will be excluded from arbitration and may proceed in court. All other arbitrable claims will remain subject to arbitration.

If the class-action waiver is found unenforceable as to a particular claim or request for relief, that claim or request will proceed in court after all arbitrable claims have been completed, unless applicable law requires otherwise.

24. Right to Opt Out of Arbitration

You may opt out of Sections 22 and 23 by sending written notice within 30 days after the date you first agree to these Terms.

Your opt-out notice must include:

  • Your full name;
  • Your mailing address;
  • The email address used for your order;
  • Your order number, if applicable; and
  • A clear statement that you are opting out of the arbitration agreement.

Opting out will not affect your purchase, account, or ability to use the website.

25. Customers Outside the United States

The mandatory arbitration, class-action waiver, jury-trial waiver, and arbitration opt-out provisions in Sections 22, 23, and 24 do not apply to consumers residing in Canada or the United Kingdom.

Consumers outside the United States retain the right to bring disputes before courts, tribunals, or consumer-dispute bodies available under the mandatory laws of their place of residence.

Nothing in these Terms limits any consumer right or remedy that cannot lawfully be waived.

26. Governing Law and Courts

These Terms are governed by the laws of the State of Delaware and applicable federal laws of the United States, without regard to conflict-of-law principles.

For disputes not subject to arbitration, you and NUATROL LLC consent to the jurisdiction of the state and federal courts located in Delaware.

However, consumers in Canada, the United Kingdom, or another jurisdiction may bring claims in their local courts where applicable law gives them that right. Consumers retain all mandatory protections provided by the laws of their place of residence.

27. Termination

We may suspend or terminate your access to the website if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, created a security risk, or violated applicable law.

Obligations and liabilities incurred before termination, along with provisions intended by their nature to survive termination, will continue after termination.

28. Severability

If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted by law.

The remaining provisions will continue in full force and effect, except where the arbitration or class-action provisions expressly state otherwise.

29. No Waiver

Our failure to exercise or enforce a right or provision under these Terms does not constitute a waiver of that right or provision.

A waiver is effective only when provided in writing by an authorized representative of NUATROL LLC.

30. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, or other business transaction, subject to applicable law.

31. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, and any other policies or notices posted on the website, constitute the entire agreement between you and NUATROL LLC concerning your use of the website and purchase of products.

Any ambiguities in the interpretation of these Terms will not be construed against the drafting party.

32. Changes to These Terms

We may update these Terms periodically by posting a revised version on this page and changing the “Last updated” date.

Changes will apply from the date they are posted unless applicable law requires otherwise. Changes will not retroactively alter the terms governing an order already accepted unless required by law or expressly agreed by both parties.

Your continued use of the website after revised Terms become effective constitutes acceptance of those revised Terms.
